Ine Widyayanti is a qualified lawyer under Indonesian law. She is a member of the Indonesian Advocates Association (Perhimpunan Advokat Indonesia / PERADI) and the Indonesian Legal Consultant Association (Asosiasi Konsultan Hukum Indonesia / AKHI).  Registered with the Indonesian Financial Services Authority (Otoritas Jasa Keuangan / OJK) as a Capital Market Legal Consultant, and also a member of the Association of the Indonesian Capital Market Legal Consultants (Himpunan Konsultan Hukum Pasar Modal / HKHPM).

She has been practicing as corporate lawyer since 2000, with an extensive experience in banking, finance, project finance and infrastructure. Ine advises on devising financing structures, acquisition financing including drafting terms sheets, loan agreements, security documents and other transaction documents. She also has substantial experience in Indonesian Public Private Partnership (PPP) transactions and debt restructuring.

Ine started her lawyering career in 2000 at the Law Office of Wiriadinata & Widyawan, later known as Wiridinata & Saleh. She practiced law at the firm for almost 10 years with latest position as Senior Associate. She then left private practice and continue lawyering as in-house counsel. She has the experience of holding the position of Head of Legal in Pakuwon Group, a major property developer in Jakarta & Surabaya, and as Legal Manager in HSBC, Jakarta.

Prior to establishing P&W, Ine has served as Head of Transaction Legal for 5 years in PT Indonesia Infrastructure Finance (“IIF”), a financial institution under the World Bank Group & the Ministry of Finance of the Republic of Indonesia that engage in infrastructure financing activities, with her latest position as Senior Vice President. During her service at IIF, Ine was named by “The Legal 500” as one of the most influential in-house lawyers in the Southeast Asia region (GC Powerlist, 2018).

Ine graduated from University of Padjadjaran, Bandung in 1997 and obtained her Master degree (LL.M) in International Business Law  from Leiden University, The Netherlands in 1999 with full scholarship.

  • Advising PT BANK CENTRAL ASIA TBK and PT SARANA MULTI INFRASTRUKTUR (PERSERO) in relation to a syndicated facility for the refinancing of a holding company including its 12 (twelve) subsidiary companies in mini-hydro power plant projects across Indonesia with totaled operational capacity of 100 MW and 17 MW (in construction), in the amount of IDR4,555,000,000,000.
  • Advising PT INDONESIA INFRASTRUCTURE FINANCE (“IIF”) in relation to financing of senior loan facility in the amount of IDR 104,100,000,000, for the development of 2×1,75 MW (installed capacity 2×1,8 MW) mini-hydro power plant project located in Sinandaka Village, Helumo, Bolaang Mongondow, North Sulawesi.
  • Advising IIF in relation to financing of working capital loan facility to a company in oil and gas construction sector, in the amount of IDR 350,000,000,000.
  • Advising IIF in relation to financing of senior term loan facility to a company in oil and gas infrastructure sector, in the amount of IDR 90,000,000,000.
  • Advising PT BANK MAYBANK INDONESIA TBK in relevant to the post-issuance of Constitutional Court Decision on enforcement of fiduciary security, including assisting in reviewing its facility documentation to ensure proper implementation.
  • Advising AJB Bumiputera 1912 (“AJBB”), an Indonesia mutual-insurance company, in relation to its assets & corporate restructuring, including advising AJJB in the preparation of the regulations related to the formation of mutual-insurance company.
  • Representing IIF as the Joint Mandated Lead Arranger together with Bank Mandiri in relation to the financing of the development of suprastructure facility of the Belawan International Container Terminal Phase-2 Expansion in the amount of approximately USD70,000,000.
  • Representing IIF in relation to syndicated facility arranged by BCA for the refinancing of Cikampek Palimanan toll road including its extension to the Kertajati Airport in the amount of IDR8,889,100,000,000.
  • Representing IIF in relation to IDR11,363,386,000,000 syndicated financing facility provided for the construction of Jakarta Cikampek II Elevated Toll Road developed by PT Jasamarga Jalanlayang Cikampek.
  • Representing IIF as Joint Mandated Lead Arranger together with BNI in relation to the financing of a Public Private Partnership (“PPP”) project in water sector for the development, operation and maintenance of drinking water supply system in Bandar Lampung city, as a part of the national strategic project.
  • Representing IIF as Mandated Lead Arranger in relation to financing the first PPP project in water sector that reached financial close in Indonesia, for the development and operation of drinking water supply system from Umbulan to 5 regencies in East Java Province together with development of 92.3 km transmission pipeline.
  • Representing IIF as Mandated Lead Arranger in relation to financing of Palapa Ring Project Phase II, the third PPP project that reached financial close in Indonesia, for the construction of fiber optic broadband to connect the western part & eastern part of Indonesia.
  • Representing IIF in relation to provision of bilateral financing facility to airport sector, namely PTAngkasa Pura II (Persero) for the Terminal III expansion in Soekarno-Hatta International Airport and syndicated facility to PT Angkasa Pura I (Persero) for the development of  new Kulon Progo Airport.
  • Representing IIF in relation to provision of Guarantee Facility on the first larger scale wind farm project to be developed and operated in Indonesia – the 70 MW Wind Power Plant in South Sulawesi, funded by Overseas Private Investment Corporation (OPIC) in amount of US$120,000,000 term loan facility.
  • Representing IIF in relation to the bilateral facility in relation to development of mini-hydro power plants, namely the 2×5 MW Mini Hydro Sangir Hulu Power Plant project located in Solok, West Sumatra and  the 2×3.7 MW Mini Hydro Tomata Power Plant project in Tomata, Central Sulawesi.
  • Representing IIF in relation to US$285,250,000 refinancing facility of hydro-power plant company located in Asahan arranged by International Finance Corporation (IFC).
  • Representing PT PAKUWON JATI TBK in relation to the club deal loan facility totalling of approximately IDR935,000,000,000 from 3 (three) banks, for the purpose of refinancing global bonds and capital expenditure of the company in 2012 and Rights Issue III conducted by the company in 2011.
  • Acting for CHINA DEVELOPMENT BANK in relation to the proposed US$400,000,000 Murabaha Financing Facility to PT Natrindo Telepon Selular.
  • Acting for PT TUNAS RIDEAN TBK. in the acquisition of PT Tunas Financindo Sarana by Bank Mandiri.
  • Acting for PT MERPATI NUSANTARA AIRLINES in relation to the financing and company revitalisation program by PT Perusahaan Pengelola Asset (Persero).
  • Acting for PT PUKUAFU INDAH, as guarantor, in connection with the US$350,000,000 notes issuance by Merukh Global Minerals B.V. arranged by BNP Paribas.
  • Acting for CHINA DEVELOPMENT BANK in connection with the US$300,000,000 financing to PT Smart Telecom.
