Dini S Purwono is a qualified lawyer under Indonesian law.  She is a member of the Indonesian Advocates Association (Perhimpunan Advokat Indonesia / PERADI), registered with the Indonesian Financial Services Authority (Otoritas Jasa Keuangan / OJK) as a Capital Market Legal Consultant, and also a member of the Association of the Indonesian Capital Market Legal Consultants (Himpunan Konsultan Hukum Pasar Modal / HKHPM).

Dini has been practicing as corporate lawyer since 1997, with an extensive experience in securities, capital markets and M&A. She advises on the Indonesian legal aspect of capital markets and securities transactions, which includes initial public offering, rights issue, bonds issuance, private placement, material transactions, conflict of interest transactions and tender offer. Her broader experience includes advising on domestic and cross-border M&A transactions, on establishment and restructuring of foreign investment companies, and on sale of strategic stakes of public and private companies to domestic and foreign investors.

Dini started her lawyering career in 1997 at Hadiputranto, Hadinoto & Partners, an Indonesian correspondent of the international law firm Baker & McKenzie. She practiced law at the firm for 8 years with latest position as Senior Associate. She then left to become Head Legal of one of the premier Indonesian financial institutions, PT Danareksa (Persero), a state-owned company. After her 3-years’ career in Danareksa, she moved back to private practice and became Partner for 2 years at Roosdiono & Partners, an Indonesian law firm having an affiliation with Zaid Ibrahim & Co, one of the leading law firms in Malaysia. Subsequently, Dini joined Christian Teo & Partners, an Indonesian law firm having an association with Stephenson Hardwood, a UK based law firm. After her 8-years’ partnership at the last firm, Dini moved on and establish P&W.

In addition to being a corporate lawyer, Dini also had the opportunity to serve as Special Staff to the Chairman of the Indonesian Investment Coordinating Board (Badan Koordinasi Penanaman Modal / BKPM) from 2012 to 2014 and as Special Staff to the Indonesian Minister of Finance from 2013 to 2014. While serving as Special Staff to the Chairman of BKPM, Dini was also a member of the Investment Committee of BKPM.

Dini graduated from University of Indonesia in 1997 and obtained her Master degree (LL.M) in International Finance Law from Harvard Law School, USA in 2002 as Fulbright Scholar.

 

  • Advising PT JATELINDO PERKASA ABADI INDONESIA, in relation to the joint operation for the implementation of electronic integrated payment and tariff system for the public transportation operators operating in Jabodetabek area with PT Jakarta Lingko Indonesia (JakLingko).
  • Advising PT SITIAGUNG MAKMUR, an Indonesian property development company which owns Banyan Tree Bali, in relation to the restructuring and settlement of US$6,000,000 Offshore Notes.
  • Advising PT ORIENTAL INDAH BALI HOTEL, an Indonesian property development company which owns Conrad Bali, in relation to issuance of US$30,000,000 Medium Term Notes (MNT) offered to offshore investors.
  • Advising JOHNSON & JOHNSON LIMITED in relation to the potential acquisition of an Indonesian public listed company.
  • Advising PT BANK EKSEKUTIF TBK (currently known as BANK PUNDI) in relation to the acquisition of a bank by way of Rights Issue, including issuing a legal opinion on the Rights Issue for the purpose of securities filing with Badan Pengawas Pasar Modal dan Lembaga Keuangan (Bapepam-LK).
  • Advising PT CARDIG AIR SERVICE, an Indonesian cargo airline, in relation to an acquisition of a catering company.
  • Advising PT BAYAN RESOURCES TBK, an Indonesian coal mining company, in relation to an acquisition of a number of coal companies in Kalimantan, including issuing a legal opinion on the transaction for the purpose of securities filing with Badan Pengawas Pasar Modal dan Lembaga Keuangan (Bapepam-LK).
  • Advising HONAM PETROCHEMICAL CORPORATION, a Korean petrochemical company (part of Lotte Group), on Indonesian laws perspective in relation to the takeover of the offshore parent of an Indonesian listed public company, assisting in the mandatory tender offer process required as the consequence of the takeover, including issuing a legal opinion on the mandatory tender offer for the purpose of the required filing with Badan Pengawas Pasar Modal dan Lembaga Keuangan (Bapepam-LK).
  • Advising MARUBENI, a major Japanese integrated trading and investment business conglomerate, in relation to an acquisition by Marubeni Group of an Indonesian multi finance company.
  • Advising PT PRIMA VISTA SOLUSI, an Indonesian company providing electronic payment systems, in relation to its full shares disposal to Wirecard A.G., a German listed IT company.
  • Advising PT SURYARAYA INVESTAMA, an Indonesian property development company which owns Melia Hotel Yogyakarta and Kuala Lumpur, in relation to hotel properties ownership restructuring. The deal is a massive and complex ownership restructuring of hotel properties operated and managed by Melia Group, which are located in 4 (four) areas, being Jakarta, Yogyakarta, Bali and Kuala Lumpur.
  • Advising PT BENAKAT PETROLEUM ENERGY TBK, an Indonesian oil and gas company, in relation to a port acquisition.
  • Advising PT HOME CREDIT INDONESIA, an Indonesian consumer financing company (a foreign investment company / PMA), in relation to its entering into a bilateral loan agreement and joint consumer financing agreement with PT Bank Tabungan Pensiunan Nasional Tbk (BTPN).
  • Advising PT DHARMA SATYA NUSANTARA TBK, an Indonesian plantation company, in relation to an acquisition of a number of palm oil companies in Kalimantan owned by a UK public company.
  • Advising PT GRESIK JASATAMA, an Indonesian port operator company, in relation to medium term notes (MTN) issuance and preparation of an initial public offering (IPO).
  • Advising PT SURYARAYA CAPITAL, an Indonesian property development company, in relation to restructuring of its joint venture agreement with Capitaland Group, one of the leading property developers in Singapore.
  • Advising WIRECARD A.G, a German listed IT company, in relation to an acquisition of a certain merchant acquiring business in Indonesia as part of a worldwide acquisition.
